Legal – REAF Program – Incubation
Berytech is a leading organization in the Entrepreneurial Eco-system in Lebanon, that aims to provide a conducive environment for the creation and development of startups, through incubation, business support, counseling, funding, networking, and company hosting, hence taking part in the economic revival of the country, participating in wealth and job creation, and retaining graduates and high-level skills in Lebanon.
The Rural Entrepreneurs in Agri-Food (REAF) program aims at strengthening the business and product viability of innovative startups tackling sustainable rural economic development operating in South Mount Lebanon, Central and West Bekaa. The program will provide the startups with the tools to transform their ideas into sustainable and profitable businesses. REAF’s youth training will enhance their entrepreneurship mentality and entry into the job market.
The Accelerator Program's mission is to nurture and grow ideas, proof of concepts, and prototypes that share three common characteristics:
- An innovative approach to agri-food, eco-tourism, circular economy, and sustainable agriculture.
- The possibility to scale in the local market and beyond that.
- The potential to create sustainable job opportunities locally.
- Assist startups (8 in this cohort) in understanding and navigating the legal landscape in Lebanon.
- Provide guidance on registration processes and compliance with local laws and regulations.
- Draft co-founders' agreements to establish clear governance structures and protect the interests of all parties involved.
- Conduct basic legal due diligence to identify potential risks and provide recommendations for mitigation.
The REAF Program seeks a Legal Advisor to deliver the following requirements:
- Conduct an in-person 4-hour workshop on the different legal aspects of a business.
- Assist startups in understanding and navigating the legal landscape in Lebanon, with a focus on the registration process and compliance with local laws and regulations.
- Assist startups in the registration process under Lebanese laws, providing guidance on required documentation and compliance with local regulations.
- Provide guidance on the establishment of legal entities, including advising on company structure and the necessary documentation required for registration.
- Draft co-founders' agreements for startups, outlining roles, responsibilities, equity distribution, and dispute resolution mechanisms to ensure clear governance and protect the interests of all co-founders.
- Conduct basic legal due diligence for startups to identify potential legal risks and provide recommendations for mitigation.
- Conduct a 4-hour in-person workshop on legal aspects of business operations.
- Provide a minimum of 12 and a maximum of 20 hours of mentoring to the startups.
- Signed co-founders' agreements for startups, outlining roles, responsibilities, equity distribution, and dispute resolution mechanisms.
- Attend pre-engagement and post-engagement briefings with the Berytech team.
- Provide written feedback on the performance of each startup.
The Legal Advisor should possess the following qualifications:
- A qualified lawyer with specialized knowledge in Lebanese business law and startup regulations.
- Proven experience in assisting startups with legal matters, including registration, compliance, and contract drafting.
- Strong analytical and problem-solving skills, with the ability to provide practical legal advice to startups.
- Excellent communication skills, with the ability to convey complex legal concepts in a clear and understandable manner.
- Familiarity with co-founders' agreements and their importance in startup governance.
