Legal Consultant - ScaleSmart Program

Context & Background

Berytech is a leading organization in the Entrepreneurial Ecosystem in Lebanon, that aims to provide a conducive environment for the creation and development of startups, through incubation, business support, counseling, funding, networking, and the company hosting, hence taking part in the economic revival of the country, participating in wealth and job creation, and retaining graduates and high-level skills in Lebanon.

The ScaleSmart program aims to support pre-seed or seed startups working in different sectors to scale up by equipping them with the knowledge and tools necessary to plan a solid fundraising path, matching them with investors and investment opportunities, and improving their chances of successfully raising funds.

Scope of work

The Scalesmart Program seeks to train entrepreneurs on relevant Legal Matters. The selected candidate will be required to deliver 2 one one-on-one with each 5 startups (Max 10 Sessions) that cover the following topics:

• Legal Audit for each of the startups including but not limited to:
  • Registration of main entity in the most favorable country based on ease of doing business, taxation law and operations
  • Identification of key stakeholders such as partners, shareholders
  • Identification of subsidiaries and compliance with Governing Law and registration
• Company Consolidation and M&A:
  • Legal Steps for consolidating subsidiaries in one entity
  • Final company structure including Top co and subsidiaries
  • Ensure each subsidiary’s compliance with it governing laws
  • Taxation and Regulatory considerations
  • Updated cap table resulting from consolidation
• Intellectual Property (IP) protection across multiple Geographies
  • Trademarks, Patents, and Copyrights
  • Regional or Internation IP Treaties that can enable the IP to be secure in multiple countries at once (Example: Patent Cooperation Treaty)
• Cross Border employment and HR Legalities (When Applicable)
  • Employment Contracts depending on Jurisdiction
  • Non-compete and IP Ownership Requirements
• Compliance including anti bribery and anti-money laundering
• Tax Laws depending on Jurisdiction and reporting
• Customer Centric Agreements:
  • Service Level Agreements
  • Terms and conditions
  • Scope of Services

Deliverables

• Up to 2 one-on-one clinics for each startup (Maximum 10 Sessions)
• Roadmap for completion of all required legal matters in coordination with company legal counsel
• Audit of the level of legal maturity for each startup

Qualifications

• Minimum License in Law with 8 years of experience in corporate laws
• Good knowledge of both Lebanese and GCC Jurisdictions
• Previous work with Pre-Seed and Seed Startups
• Experience with helping Startups/SMEs expand outside Lebanon
• Experience in M&A and consolidation of subsidiaries with different shareholders
