Internal Governance Consultant - ScaleSmart Program-Act Smart Innovation Hub

Context & Background

Berytech is a leading organization in the Entrepreneurial Ecosystem in Lebanon, that aims to provide a conducive environment for the creation and development of startups, through incubation, business support, counseling, funding, networking, and the company hosting, hence taking part in the economic revival of the country, participating in wealth and job creation, and retaining graduates and high-level skills in Lebanon.

The ScaleSmart program aims to support pre-seed or seed startups working in different sectors to scale up by equipping them with the knowledge and tools necessary to plan a solid fundraising path, matching them with investors and investment opportunities, and improving their chances of successfully raising funds.

Scope of work

The ScaleSmart Program seeks to train entrepreneurs on strengthening their Internal governance. The selected candidate will be required to deliver a 3-hour workshop (online or in person) and two one one-on-one clinics with each of the 6 startups (total of 12 sessions) that cover the following key topics:

  1. Corporate Governance Framework:
    1. Review and refine the company's governance structure, including board composition, roles, and responsibilities.
    2. Establish or enhance board committees (e.g., audit, risk, compensation).
  2. Decision-Making Processes:
    1. Develop or improve decision-making protocols to ensure transparency, accountability, and efficiency.
    2. Define escalation paths for critical decisions.
  3. Compliance and Legal Obligations:
    1. Ensure the company is adhering to local and international regulatory requirements.
    2. Implement policies for data protection, anti-corruption, and ethical business practices.
  4. Risk Management:
    1. Establish a risk management framework to identify, assess, and mitigate risks.
    2. Develop crisis management and business continuity plans.
  5. Stakeholder Engagement:
    1. Align governance practices with stakeholder expectations, including investors, employees, and customers.
    2. Improve reporting mechanisms to ensure clear communication with stakeholders.
  6. People and Culture:
    1. Create internal employee workbook
    2. Define the company code of conduct

Deliverables

  • Deliver one 3-Hour Workshop on Internal Governance according to the scope defined
  • Two one-on-one clinics for each startup to steer Governance in the right direction
  • Complete Governance assessment for each startup and roadmap to establish the key Governance Frameworks of committees depending on startup level and needs

Qualifications

  • At least 7 years of experience as a Consultant, Trainer, or similar role with strong Governance knowledge
  • Experience in Governance frameworks for both mature and early-stage companies
  • Strong communication skills and ability to engage efficiently with multiple stakeholders
  • Fluent in English and Arabic
