Selection Process: The selection of the consultant will be based on the evaluation of the submitted proposals. Just.Childhood reserves the right to request additional information or clarification from the consultants during the evaluation process. Only the selected consultant will be contacted.

Intellectual Property: Any materials, reports, or deliverables produced by the consultant during the project will be the property of Just.Childhood. The consultant shall not use or disclose any confidential information obtained during the project without the written consent of Just.Childhood.

Reporting and Communication: The consultant will provide regular progress reports to Just.Childhood throughout the project. Meetings and communication shall be scheduled as necessary to ensure effective collaboration.

Ethical Considerations: The consultant shall adhere to ethical standards and maintain confidentiality in all matters related to Just.Childhood and its stakeholders.

Scope of Work: The scope of work for the consultant includes, but is not limited to, the following key areas:

a) Board Structure:

  • Evaluate the current board structure, composition, and diversity, with a specific focus on anti-corruption measures.
  • Propose recommendations for enhancing transparency, accountability, and effectiveness within the board.
  • Develop guidelines for board member recruitment, orientation, and term limits to ensure integrity and ethical conduct.

b) Board Members Responsibilities and Authorities:

  • Review and analyze the roles and responsibilities of board members, emphasizing their oversight role in preventing corruption.
  • Develop comprehensive job descriptions for board members, outlining their responsibilities in risk management and anti-corruption efforts.
  • Define the authorities and limitations of board members, ensuring appropriate checks and balances are in place.

c) Framework for Board Decision-Making:

  • Evaluate the existing decision-making processes within the board and identify potential corruption risks.
  • Design a clear and robust framework for board decision-making, incorporating risk assessment mechanisms, conflict of interest disclosure protocols, and whistleblowing procedures.
  • Provide guidance on promoting transparency, accountability, and integrity in board decision-making processes.

d) Workflow between the Board and the Organization Management:

  • Assess the current workflow and communication channels between the board and the organization management, with a focus on preventing corruption and ensuring effective oversight.
  • Develop protocols for efficient communication and collaboration between the board and the organization management, including mechanisms for reporting potential corruption concerns.
  • Recommend measures to strengthen accountability and transparency in the relationship between the board and the organization management.

e) Governance Processes and Procedures:

  • Review and evaluate the existing governance processes and procedures of Just.Childhood, paying special attention to anti-corruption measures.
  • Develop a comprehensive set of governance processes and procedures that address corruption risks, including robust financial controls, transparent procurement processes, and conflict of interest policies.
  • Provide guidance on implementing effective checks and balances to mitigate corruption risks, taking into account relevant industry standards and legal requirements.

Deliverables: The consultant will be responsible for delivering the following:

  1. Governance Revamp Plan: A comprehensive plan detailing the recommended improvements to the board structure, board members' responsibilities and authorities, framework for board decision-making, workflow between the board and the organization management, and governance processes and procedures. The plan should emphasize anti-corruption measures and the implementation of robust checks and balances.
  2. Implementation Roadmap: A detailed roadmap outlining the step-by-step implementation of the recommended changes, including key milestones, timelines, and responsible parties. The roadmap should specifically address the integration of anti-corruption measures and the strengthening of checks and balances.
  3. Training and Capacity Building: Develop a training plan to facilitate the smooth transition and effective implementation of the governance revamp. The plan should include targeted training sessions on corruption prevention, risk management, and the promotion of ethical conduct within the organization.

Timeline: The consultancy is expected to commence on September 1st, 2023 and be completed by December 1st, 2023 The consultant will work closely with the Just.Childhood team throughout the project and provide regular progress updates.

Budget: The budget available for this consultancy is $6,000. The consultant should provide a breakdown of their fees and expenses in the proposal.
